Terms and Conditions - Infinitum AI

Preamble

These Terms and Conditions govern the contractual relationship between Infinitum AI and its clients for the provision of artificial intelligence consulting services, proof-of-concept (POC) development, training, and support. By ordering our services, you unconditionally accept these Terms and Conditions.

Service Description

Infinitum AI offers the following services:

Strategic AI Consulting: Audit, personalized roadmap, opportunity identification
POC Development: Functional prototypes, user testing, impact validation
Custom Training: Job-specific programs, adaptive paths, individual support
Change Management: Team support, user assistance, progressive adoption
Measurement and Optimization: Performance monitoring, continuous improvement
Compliance and Security: GDPR/FADP compliance, security audit, Swiss hosting

Free Assessment

We offer a free 60-minute assessment with no commitment. This assessment evaluates your needs, identifies AI opportunities, and provides a personalized roadmap. No purchase obligation results from this assessment.

Quotes and Pricing

After the initial assessment, we provide a detailed personalized quote based on your specific needs. Prices vary according to project scope and complexity. Quotes are valid for 30 days. Any modification to the initially defined scope may result in a supplementary quote.

Orders and Acceptance

Any service order implies acceptance of these Terms and Conditions. Orders are confirmed by signing a purchase order or service contract and payment of a deposit if applicable. Infinitum AI reserves the right to refuse any order for legitimate reasons.

Pricing and Payment

Prices are quoted in Swiss Francs (CHF), excluding VAT unless otherwise stated. Swiss VAT at the current rate will be added where applicable.

Payment terms:

30-50% deposit upon order depending on project
Balance upon delivery or according to defined schedule
Payment by bank transfer within 30 days
Late payment: 5% penalty after 30 days

Training-Specific Conditions

Registrations

Registrations are confirmed upon receipt of payment or corporate contract signature
Limited places per cohort

Participant Cancellation

More than 14 days before start: full refund
Between 7 and 14 days: 50% refund
Less than 7 days: no refund
Postponement to later cohort possible (subject to availability)

Infinitum AI Cancellation

In case of force majeure or insufficient participants, Infinitum AI reserves the right to cancel or postpone training
Participants will be notified at least 7 days in advance and may choose full refund or postponement

Deadlines and Delivery

Completion deadlines are indicated for information purposes in the quote. Infinitum AI strives to meet announced deadlines, but delays may occur due to unforeseen circumstances. Delays cannot result in order cancellation or penalties, unless otherwise agreed.

Intellectual Property

Deliverables (reports, roadmaps, POCs, training materials) remain Infinitum AI property until full payment. After payment, the client receives a usage license for internal needs.

Infinitum AI's proprietary methodologies, frameworks, and tools remain its exclusive property.

Data and information provided by the client remain its property.

Confidentiality

Infinitum AI commits to maintaining confidentiality of all client information. A confidentiality agreement (NDA) can be signed upon request before mission start. Sensitive data and information will not be disclosed to third parties without prior written agreement.

Liability and Warranties

Infinitum AI implements all means to provide quality services. Our liability is limited to proven direct damages and cannot exceed the total contract amount.

We cannot be held liable for:

Unachieved business results (our services are best-efforts obligations)
Indirect damages (loss of profits, business interruption)
Consequences of erroneous information provided by the client
Non-adoption of solutions by client teams

Termination

In case of serious breach by either party, the other party may terminate the contract after formal notice remaining unanswered for 15 days.

In case of early termination by the client, amounts already paid remain acquired by Infinitum AI as compensation.

Force Majeure

Infinitum AI cannot be held liable for any delay or non-performance of obligations resulting from force majeure as defined by Swiss case law.

Applicable Law and Jurisdiction

These Terms and Conditions are governed by Swiss law. Any dispute relating to interpretation or execution hereof shall be submitted to the courts of the Canton of Vaud, Switzerland, unless otherwise required by mandatory law.

Terms Modifications

Infinitum AI reserves the right to modify these Terms and Conditions at any time. The applicable Terms are those in force on the order date.
